These Terms and Conditions (“Terms”) govern your use of the ClearPaths platform, websites, applications, and related services (collectively, the “Service”), provided by Nichols WD LLC dba ClearPaths (“ClearPaths,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

ELIGIBILITY
The Service is intended for use by landscaping and snow removal businesses. By using the Service, you represent and warrant that you are at least 18 years of age and authorized to enter into legally binding agreements on behalf of your company.

ACCOUNT REGISTRATION AND RESPONSIBILITIES
You must provide complete and accurate information when registering an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree not to misuse the Service, including but not limited to unauthorized access, reverse engineering, interference with security features, or unlawful use.

SUBSCRIPTION FEES AND PAYMENT
ClearPaths is provided on a subscription basis with plan levels (Starter, Growth, and Pro). Fees are billed monthly or annually, in advance, and are non-refundable except as required by law. By providing a valid payment method, you authorize ClearPaths to charge subscription fees on a recurring basis until you cancel. Failure to pay may result in suspension or termination of your account.

TERM, CANCELLATION, AND TERMINATION
You may cancel your subscription at any time by notifying ClearPaths through your account settings or customer support. Your subscription will remain active until the end of the paid billing cycle. ClearPaths may suspend or terminate your account for non-payment, violation of these Terms, or misuse of the Service. Upon cancellation or termination, you may request an export of your data within thirty (30) days; after such period, data may be permanently deleted.

INTELLECTUAL PROPERTY
The Service, including but not limited to all software, content, designs, trademarks, and logos, are owned by ClearPaths and Nichols WD, LLC, and are protected by intellectual property laws. You retain ownership of your business and customer data. You grant ClearPaths a limited license to store, process, and use your data solely as necessary to provide the Service.

DATA PRIVACY

ClearPaths will maintain appropriate administrative, technical, and physical safeguards to protect your data. We do not sell your data to third parties. Use of data is further described in our Privacy Policy, which is incorporated into these Terms.

SERVICE AVAILABILITY AND LIMITATIONS
ClearPaths strives to maintain reliable, uninterrupted service but does not guarantee continuous availability. We are not responsible for delays, interruptions, or failures caused by third-party providers, internet connectivity, or factors beyond our reasonable control.

MARKETING SERVICES
Certain services may include marketing or creative services provided through Nichols WD. Results from marketing activities are not guaranteed and may vary depending on external factors, market conditions, and customer actions.

LIMITATION OF LIABILITY
To the maximum extent permitted by law, ClearPaths and Nichols WD, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities, even if advised of the possibility of such damages. Our total liability under these Terms for any claim shall not exceed the total amount of fees paid by you to ClearPaths in the twelve (12) months preceding the claim.

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ClearPaths, Nichols WD, LLC, and their officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your misuse of the Service, violation of these Terms, or infringement of any intellectual property or other rights.

GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.

CHANGES TO TERMS
ClearPaths may revise these Terms at any time by posting an updated version on our website. The updated Terms will be effective as of the date posted. Continued use of the Service constitutes acceptance of the updated Terms.

ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and ClearPaths with respect to your use of the Service and supersede any prior agreements or understandings, whether written or oral.
